Welcome to Freelancely. These Terms of Service ("Terms") govern your access to and use of the Freelancely website, mobile applications, and services (collectively, the "Platform"), operated by Sun Software Pvt. Ltd. ("Freelancely," "we," "us," or "our").

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Eligibility

You must be at least 13 years of age (or the minimum age required in your jurisdiction) to use the Platform. By using Freelancely, you represent and warrant that:

  • You meet the minimum age requirement
  • You have the legal capacity to enter into these Terms
  • You are not barred from using the Platform under applicable laws
  • The information you provide is true, accurate, and complete

2. Account Registration

To access certain features, you must create an account. You agree to:

  • Provide accurate and current information
  • Keep your login credentials secure and confidential
  • Notify us immediately of any unauthorized use of your account
  • Be responsible for all activities that occur under your account

We reserve the right to suspend or terminate any account that violates these Terms or is found to contain false information.

3. User Conduct

You agree not to:

  • Post unlawful, harmful, harassing, defamatory, or fraudulent content
  • Upload or share sexually explicit material, hate speech, or violent content
  • Engage in any form of child sexual abuse or exploitation (see our Child Safety Standards)
  • Impersonate another person or misrepresent your affiliation
  • Spam, phish, or distribute malware
  • Scrape, crawl, or use automated tools to access the Platform without permission
  • Circumvent security measures or interfere with platform functionality
  • Use the Platform for money laundering, tax evasion, or other illegal activities
  • Solicit personal or financial information from other users under false pretenses
  • Violate any applicable law or third-party rights

4. User Content

You retain ownership of the content you post on Freelancely ("User Content"). By posting, you grant Freelancely a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, modify, distribute, and display your User Content in connection with operating and promoting the Platform.

You represent and warrant that:

  • You own or have the necessary rights to post your User Content
  • Your User Content does not infringe any third-party rights
  • Your User Content complies with these Terms and applicable laws

We reserve the right to remove any User Content that violates these Terms, without prior notice.

5. Intellectual Property

All content on the Platform (excluding User Content), including the Freelancely name, logo, design, software, and trademarks, is the exclusive property of Sun Software Pvt. Ltd. and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent.

6. Pro Accounts & Subscriptions

Freelancely offers premium features via Pro accounts and other paid subscriptions. By subscribing, you agree to:

  • Pay all applicable fees as stated at the time of purchase
  • Authorize automatic renewal unless canceled before the renewal date
  • Manage and cancel your subscription through your account settings or the relevant app store

Subscription fees are non-refundable except where required by law.

7. Marketplace & Transactions

The Freelancely Marketplace allows users to buy and sell digital products, templates, tools, and services. Freelancely acts only as a platform and is not a party to transactions between users.

  • Sellers are responsible for the accuracy, legality, and quality of their listings
  • Buyers are responsible for reviewing listings before purchase
  • All sales are final unless otherwise stated by the seller
  • Disputes should first be resolved directly between buyer and seller
  • Freelancely may, at its discretion, mediate disputes but is not obligated to do so

8. Jobs & Freelance Gigs

The Jobs section allows users to post and apply for freelance opportunities. Freelancely does not employ freelancers and is not a party to any agreement between clients and freelancers.

  • Clients and freelancers are responsible for their own contracts, deliverables, and payments
  • Freelancely does not guarantee the accuracy or legitimacy of any job posting
  • Users should exercise due diligence before entering into any professional engagement

9. Business Listings & Events

Users may list their businesses and host events on the Platform. You agree to provide accurate information and comply with all applicable laws. Freelancely is not responsible for the conduct of event organizers or the accuracy of business listings.

10. Merits & Reputation System

Freelancely uses a "Merits" reputation system. Merits have no monetary value and cannot be purchased, transferred, or redeemed for cash. Artificial inflation, trading, or manipulation of Merits is prohibited and may result in account suspension.

11. Third-Party Links & Services

The Platform may contain links to third-party websites or services. We do not control and are not responsible for the content, policies, or practices of any third-party sites. Use them at your own risk.

12. Privacy

Your use of Freelancely is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information.

13. Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including violation of these Terms. Upon termination:

  • Your right to access the Platform will immediately cease
  • You may lose access to User Content associated with your account
  • Outstanding obligations (e.g., unpaid fees) will survive termination

You may terminate your account at any time through your account settings.

14. Disclaimers

The Platform is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. Freelancely does not warrant that:

  • The Platform will be uninterrupted, secure, or error-free
  • Any information obtained through the Platform will be accurate or reliable
  • Defects will be corrected

You use the Platform at your own risk.

15. Limitation of Liability

To the maximum extent permitted by law, Freelancely and its affiliates, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of the Platform.

Our total liability for any claim arising out of or relating to these Terms or the Platform shall not exceed the amount you paid to Freelancely in the twelve (12) months preceding the claim, or USD $100, whichever is greater.

16. Indemnification

You agree to indemnify, defend, and hold harmless Freelancely and its affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:

  • Your violation of these Terms
  • Your User Content
  • Your interactions with other users
  • Your violation of any law or third-party rights

17. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Islamic Republic of Pakistan, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts of Multan, Pakistan.

Before initiating any legal action, the parties agree to attempt to resolve the dispute in good faith through informal negotiation.

18. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by posting the updated Terms on the Platform and updating the "Last updated" date. Continued use of the Platform after changes constitutes acceptance of the revised Terms.

19. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

20. Entire Agreement

These Terms, together with our Privacy Policy and Child Safety Standards, constitute the entire agreement between you and Freelancely regarding your use of the Platform.
